Terms of Service

The terms under which KJU provides consultancy and managed services. Written in plain English — no legalese.

1. About these terms

These terms apply when you engage KJU for Microsoft 365 consultancy, project work, or managed services. By commissioning work from us, you agree to these terms.

KJU is operated from Calle Luis Taboada 5, Málaga, 29017, Spain. For any questions about these terms, contact us at [email protected].

2. Services

KJU provides Microsoft 365 consultancy services including but not limited to: tenant setup and migration, identity and access management, security configuration, backup solutions, Teams and SharePoint governance, and user training.

The specific scope of each engagement is agreed in writing (email or a signed Statement of Work) before work begins. We will not expand scope without your explicit approval.

3. Payment

Project work is invoiced on completion unless otherwise agreed. Managed services are invoiced monthly in advance. Our standard payment term is 14 days from invoice date.

Licenses sourced on your behalf (e.g. Veeam, Arrow Cloud Backup) are invoiced at an agreed price that includes the license cost and our margin. Should the provider change their pricing, we will maintain the same margin percentage and adjust the price charged to you accordingly.

4. Access to your tenant

To perform work in your Microsoft 365 tenant, we typically require a delegated admin relationship or temporary Global Administrator credentials. We will:

5. Data and confidentiality

In the course of our work we may have access to your business data. We treat everything we see as confidential. We will not use, copy, or disclose your data for any purpose other than delivering the agreed service.

We may store documentation, configuration notes, and correspondence relating to your tenant to support ongoing work. This data is retained only as long as we have an active relationship with you, and deleted within 60 days of engagement end.

6. Liability

We take our work seriously and stand behind it. If we make an error, we will fix it at no additional cost.

Our total liability for any claim arising from our services is limited to the fees paid by you for the specific engagement giving rise to the claim. We are not liable for indirect, consequential, or incidental damages, including lost data, lost revenue, or business interruption.

We strongly recommend maintaining independent backups of your data. Our backup managed service provides exactly this — but no backup solution eliminates all risk.

7. Warranties

We warrant that our services will be performed with reasonable care and skill by qualified professionals. We do not warrant that Microsoft 365 itself — or any third-party service — will be free from outages or issues outside our control.

8. Termination

Either party may terminate managed services with 30 days written notice. Project engagements are terminated on completion or by mutual agreement. If you terminate a project mid-engagement, you are liable for work completed to that point.

Where licenses have been sourced on your behalf, termination of managed services does not automatically cancel the underlying license commitment. Licenses may carry monthly or annual terms set by the provider; any remaining commitment period continues to apply and will be invoiced accordingly until the license term expires or can be cancelled per the provider's terms.

We reserve the right to terminate any engagement immediately if we discover that our services are being used unlawfully or in breach of Microsoft's service terms.

9. Governing law

These terms are governed by the laws of Spain. Any dispute that cannot be resolved amicably will be subject to the exclusive jurisdiction of the courts of Málaga, Spain.

10. Changes

We may update these terms from time to time. Significant changes will be communicated to active clients by email. Continued engagement after notification constitutes acceptance of the updated terms.
